Description of Service

Mxpert provides a Virtual AI Service Advisor and related tools to auto repair shops. Our service allows users to manage their interactions and improve customer engagement.

User Responsibilities

1. You must use the Service in compliance with all applicable laws and regulations.
2. You must provide accurate and complete information when creating an account.
3. You are responsible for maintaining the confidentiality of your account and password.
4. You must notify us immediately of any unauthorized use of your account.

Account Information

If you create an account, you are responsible for maintaining the security of your account and all activities that occur under the account. You must notify us immediately of any unauthorized use of your account.

Privacy Policy

Our Privacy Policy explains how we collect, use, and share your information. By using the Service, you agree to the collection and use of information in accordance with the Privacy Policy.

License to Use

We grant you a non-exclusive, non-transferable license to use our Service. You may not use the Service for any illegal or unauthorized purpose.

Prohibited Activities

2. Violate any applicable laws or regulations.
3. Infringe upon or violate our intellectual property rights.

Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Mxpert and its licensors. The Service is protected by copyright, trademark, and other laws of both the Province of Newfoundland and Labrador and foreign countries.

Non-Compete Clause

During and for a period of two years after the termination or expiration of this Agreement, you agree not to develop, produce, market, or sell any product or service that competes directly or indirectly with Mxpert's services. You acknowledge and agree that the restrictions set forth in this non-compete clause are reasonable and necessary to protect Mxpert's legitimate business interests and that any violation of this clause would cause irreparable harm to Mxpert. In the event of a breach of this clause, Mxpert shall be entitled to seek injunctive relief and any other remedies available at law or equity.

Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

Limitation of Liability

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. We do not warrant that the Service will be uninterrupted or error-free. In no event shall Mxpert be liable for any direct, indirect, incidental, special, or consequential damages, including but not limited to loss of production, loss of profits, loss of revenue, loss of data, or any other business or economic disadvantage suffered by the Licensee arising out of the use or failure to use the Service.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the Province of Newfoundland and Labrador, without regard to its conflict of law provisions.

Miscellaneous

This Agreement does not create or imply any relationship in agency or partnership between Mxpert and the users. Headings are inserted for the convenience of the parties only and are not to be considered when interpreting this Agreement. Words in the singular mean and include the plural and vice versa. Words in the masculine gender include the feminine gender and vice versa. Words in the neuter gender include the masculine gender and the feminine gender and vice versa. If any term, covenant, condition, or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void, or unenforceable, it is the parties' intent that such provision be reduced in scope by the court only to the extent deemed necessary by that court to render the provision reasonable and enforceable, and the remainder of the provisions of this Agreement will in no way be affected, impaired, or invalidated as a result. This Agreement contains the entire agreement between the parties. All understandings have been included in this Agreement. Representations which may have been made by any party to this Agreement may in some way be inconsistent with this final written Agreement. All such statements are declared to be of no value in this Agreement. Only the written terms of this Agreement will bind the parties. This Agreement and the terms and conditions contained in this Agreement apply to and are binding upon Mxpert's successors and assigns.
